STATUTE
GENERAL PROVISIONS
§ 1
The European Institute for Security Policy, hereinafter referred to as the Foundation, established by Tadeusz Owczarski, hereinafter referred to as the Founder, based on the authenticated deed drawn up by a notary Barbara Bilińska in a notary’s office in Bydgoszcz, Gdańska 16, on August 31, 2016, operates pursuant to the provisions of Polish law and the below statute.
§ 2
The name of Foundation and the graphic symbol used by the Foundation, which distinguishes it from other entities of this type, are protected by law.
§ 3
- The Foundation has a legal personality.
- The seat of the Foundation is located in the city of Bydgoszcz.
- The duration of Foundation’s activity is indefinite.
§ 4
- The area of Foundation’s activity is the territory of the Republic of Poland, but to the extent necessary for the proper implementation of its objectives, it may also operate outside the borders of the Republic of Poland.
- In order to perform its activities, the Foundation may establish branches and subsidiaries.
- The Foundation may establish branches abroad.
§ 5
The Foundation may establish badges, medals of honor and award them with other awards and distinctions, to natural and legal persons of merit for the Foundation.
§ 6
The supervising body is the minister competent for internal affairs and administration.
OBJECTIVES AND PRINCIPLES OF THE FOUNDATION
§ 7
The goals of the Foundation are as follows:
- enhancing and strengthening the internal and external dimension of the EU’s security;
- supporting the development of international cooperation in combating serious and organised crime and terrorism;
- supporting efforts to develop and promote security management models with a view to effectively combating crime, including based on a multidisciplinary and intelligence led approach;
- strengthening the development of crisis management, civil and critical infrastructure protection mechanisms;
- advocating for and promoting the public-private partnerships, inter-institutional and multidisciplinary cooperation; setting-up of a like-minded broad coalitions and platforms with a view to ensuring public safety and security, preventing and combating crime, protecting victims, ensuring public health, as well as protecting people and critical infrastructure;
- supporting research and analytical activities in the field of justice and home affairs, public health and external relations, including the EU’s common foreign and security policy;
- advocating for and promoting protection of fundamental rights, good governance, as well as the development of democracy;
- supporting the development of civil society and local communities, promoting the civic engagement, as well as activities aimed at equalizing opportunities for groups such as: ethnic, national, religious minorities and other groups exposed to discrimination;
- promoting the European integration and cooperation between societies;
- providing technical, training, information or financial support to non-governmental organizations;
- promoting Foundation’s core values and ideas through arranging a social movement and activating the science, culture, education and business influencers.
§ 8
The Foundation achieves its goals by:
- organizing lectures, seminars, conferences and meetings to further transfer the expertise, analysis and information arising from the activities of the Foundation;
- conducting information, promotion, training, consulting, research, scientific and publishing activities;
- awarding scholarships;
- organizing student and professional internships, internships, as well as volunteering;
- cooperation with:
• domestic, foreign and international legal persons, in particular non-governmental organizations of the same or similar nature as the Foundation;
• local authorities, central government administration, international institutions, the private sector, media and public figures interested in implementation of Foundation’s core values and goals,
• scientific and cultural communities, as well as natural and legal persons sharing Foundation’s core values and goals;
• international governmental organizations with the same or similar objectives as the Foundation
PROPERTY AND INCOME OF THE FOUNDATION
§ 9
The assets of the Foundation include its founding fund in the amount of PLN 5.000 and other property acquired by the Foundation in the course of its operation.
§ 10
The Foundation’s revenues come from:
- donations, inheritances, bequests;
- subsidies and grants from legal entities;
- rebounds, lottery and public events;
- Foundation assets;
- interest and bank deposits;
- receipts from other sources received or acquired during the Foundation’s activities.
§ 11
- The Foundation’s assets may be invested in companies and securities.
- Income from the foundation’s assets is intended solely for the implementation of the statutory objectives and coverage of the necessary costs of the Foundation’s operations.
- The Foundation manages its finances and books of accounts in accordance with separate regulations.
- The accounting year is the calendar year.
FOUNDATION AUTHORITIES
§ 12
- The Foundation’s authorities are the Foundation’s Management Board and the Foundation’s Supervisory Board;
- The Management Board of the Foundation is its governing body;
- The Supervisory Board of the Foundation is its supervisory body.
MANAGEMENT BOARD
§ 13
- The Management Board manages the Foundation’s activities and represents it outside;
- The Management Board consists of one to three members;
- The founder may become a member of the Management Board;
- The Management Board is appointed for an indefinite period;
- Management Board members may be employed by the Foundation. In such a case, the Chairman of the Foundation’s Supervisory Boar represents the Foundation as the employer in terms of labour law.
- The competences of the Management Board include all matters not stipulated by the provisions of this Statute nor the provisions of generally applicable law for the benefit of other authorities; the competences include in particular:
a) adopting the Foundation’s action plans;
b) managing the Foundation’s assets;
c) accepting subsidies, grants, donations, inheritances and bequests;
d) signing contracts on behalf of the Foundation;
e) representing the Foundation as an employer in terms of labor law, subject to §14 point 3;
f) preparing reports on the Foundation’s activities. - The Management Board adopts resolutions by a simple majority of votes. For a resolution to be valid, the presence of at least half of its members, including the President of the Foundation’s Management Board, is required. In the event of an equal distribution of votes, the vote of the President of the Foundation’s Management Board decides about the result of the vote.
- Submitting declarations of will regarding the Foundation’s property rights and obligations requires the signature of the President of the Foundation’s Management Board.
- To the extent required in point 7 the President of the Management Board may grant powers of attorney in writing to other persons.
§ 14
Method of appointing the Management Board:
- The first Management Board of the Foundation, including the President of the Management Board, is appointed by the Founder.
- The body authorized to appoint and dismiss members of the Management Board, subject to point 1 above, is the Foundation’s Supervisory Board.
- The Foundation’s Supervisory Board appoints members of the Management Board by unanimous vote in the presence of more than half of the Foundation’s Supervisory Board members, including the Chairman of the Board, from among the candidates presented by the President of the Foundation’s Management Board.
- Membership in the Management Board ends as a result of resignation, dismissal or death of a member.
SUPERVISORY BOARD
§ 15
- The Supervisory Board of the Foundation consists of two to five members.
- The Founder may become a member of the Supervisory Board of the Foundation.
- The Supervisory Board of the Foundation is appointed for an indefinite period.
- Members of the Foundation’s Supervisory Board:
a) cannot be members of the Foundation’s Management Board;
b) cannot be convicted by a valid sentence for an intentional crime;
c) may receive reimbursement of justified costs in the scope determined by the Management Board in connection with their function in the Foundation’s body. - The powers of the Supervisory Board include:
a) supervising the implementation of the main directions of the Foundation’s activities;
b) supervising the compliance with the law of the Foundation’s activities;
c) expressing opinions on matters presented to it by the Management Board;
d) scrutinizing annual reports on the Foundation’s activities. - The Supervisory Board of the Foundation debates at meetings chaired by the Chairman of the Supervisory Board. The Chairman of the Supervisory Board convenes the meetings of the Supervisory Board in a customary manner, if necessary, at least once a year.
- The President of the Management Board takes part in the meetings of the Supervisory Board.
- The Chairman of the Supervisory Board may invite other persons to participate in the meetings of the Supervisory Board.
- The resolutions of the Supervisory Board are passed by a simple majority of votes. The validity of the resolution requires the presence of more than half of the members of the Supervisory Board. In the event of an equal distribution of votes, the vote of the Chairman of the Foundation’s Supervisory Board shall decide the result of the vote.
§ 16
Method of appointing the Foundation’s Supervisory Board:
- Members of the first composition of the Foundation’s Supervisory Board, including the Chairman of the Foundation’s Supervisory Board, are appointed by the Founder. The next members of the Supervisory Board to replace persons who have ceased to perform this function or to expand the composition of the Supervisory Board are appointed by the Supervisory Board by its decision.
- Membership in the Supervisory Board expires as a result of resignation, dismissal by the Supervisory Board or the death of a member.
- Dismissal of a member of the Supervisory Board may take place in particularly justified cases as a result of a secret ballot of its other members. The Founder may not be deprived of membership in the Foundation’s Management Board in this way.
- The Supervisory Board, subject to §16 point 1, appoints the Chairman from among its members. The chairman manages the work of the Supervisory Board and represents it outside.
CHANGE OF THE STATUTE
§ 17
The decision to amend the statute is made unanimously by the Foundation’s Supervisory Board at the request of the Foundation’s Management Board. Amendments to the statute may also apply to the objectives set out in the founding act.
CONNECTION WITH ANOTHER FOUNDATION
§ 18
- The Foundation may merge with another foundation for the effective achievement of its goals.
- Decisions on the merger are made unanimously by the Supervisory Board of the Foundation, at the request of the Management Board.
LIQUIDATION OF THE FOUNDATION
§ 19
- The Foundation is liquidated when the goals for which it was established are achieved or when funds and assets are exhausted.
- The decision on the liquidation of the Foundation and the allocation of the assets remaining after the liquidation of the Foundation is made by the Supervisory Board of the Foundation, at the request of the Management Board, by way of a unanimous resolution.
- The assets remaining after the liquidation of the Foundation may be allocated to legal persons operating in the territory of the Republic of Poland with similar objectives.
- The liquidators of the Foundation are appointed and dismissed by the Foundation’s Management Board.
FINAL PROVISIONS
§ 20
- The first Management Board of the Foundation is appointed by the will of the Founder, Mr. Tadeusz Owczarski, President of the Management Board.
- The Foundation’s first Supervisory Board will be composed of the following persons:
• Małgorzata Owczarska, Chairwoman of the Foundation’s Supervisory Board
• Maria Frankowska, member of the Foundation’s Supervisory Board - The statute comes into force on the day the Foundation is registered by the appropriate District Court.
The statute was adopted by resolution on August 31, 2016.
